This Code of Conduct has been established by YDIK Healthcare Products LLP (“YDIK”) to ensure that all Independent Distributors conduct business ethically, professionally, and in compliance with applicable laws and Company policies.

This Code forms an integral part of the Distributor Agreement and must be followed by every Distributor, sales leader, team member, and representative associated with YDIK Healthcare Products LLP.

The purpose of this Code is to protect consumers, maintain the reputation of YDIK, ensure fair business practices, and create a sustainable business environment for all stakeholders.

1. GENERAL STANDARDS OF CONDUCT

All Distributors shall:

  • Conduct business honestly, ethically, and professionally.
  • Comply with all applicable laws, regulations, Company policies, and Distributor agreements.
  • Protect the reputation, goodwill, and business interests of YDIK Healthcare Products LLP.
  • Treat consumers, prospects, fellow Distributors, and Company representatives with courtesy and respect.
  • Maintain integrity in all business communications and activities.

2. REPRESENTATION OF YDIK

Distributors shall:

  • Accurately represent YDIK, its products, services, and business opportunity.
  • Clearly identify themselves as Independent Distributors of YDIK Healthcare Products LLP.
  • Use only Company-approved marketing materials, presentations, brochures, videos, and promotional content.
  • Ensure that all advertising, product demonstrations, and business presentations are truthful, lawful, and not misleading.

Distributors shall not:

  • Make false or exaggerated claims about products.
  • Misrepresent potential earnings or income opportunities.
  • Make guarantees regarding financial success.
  • Use deceptive sales or recruitment practices.

3. CONDUCT TOWARDS CONSUMERS

Every Distributor shall:

  • Treat consumers fairly and respectfully.
  • Provide accurate product information and pricing.
  • Explain product usage, return policies, warranties, and customer support procedures.
  • Avoid high-pressure sales tactics, harassment, or coercion.
  • Respect a consumer’s decision not to purchase products or participate in the business opportunity.
  • Respect consumer privacy at all times.

Distributors shall immediately discontinue any sales presentation upon request by the consumer.

4. PRIVACY AND CONFIDENTIALITY

Distributors shall:

  • Maintain confidentiality of customer information.
  • Use personal data only for legitimate business purposes.
  • Protect consumer and Distributor information from unauthorized disclosure.
  • Comply with applicable privacy and data protection laws.

5. PRODUCT CLAIMS AND PRESENTATIONS

All product presentations shall:

  • Be accurate and complete.
  • Be based only on claims authorized by YDIK Healthcare Products LLP.
  • Avoid medical, therapeutic, disease-treatment, or cure claims unless specifically approved and legally permitted.

Distributors shall not:

  • Misrepresent product benefits.
  • Use misleading testimonials.
  • Alter Company-approved product descriptions.
  • Create unauthorized promotional materials.

6. COMPARISON WITH OTHER COMPANIES

Distributors shall:

  • Maintain professional conduct when discussing competitors.
  • Base any comparison on factual and verifiable information.

Distributors shall not:

  • Make false or disparaging remarks about competitors.
  • Misrepresent competitor products or business opportunities.
  • Use another company’s trademark, logo, or intellectual property without authorization.

7. ORDERS, SALES AND CUSTOMER SERVICE

Distributors shall:

  • Provide customers with invoices, receipts, and order confirmations.
  • Clearly explain delivery timelines.
  • Support customers with returns, exchanges, and complaint resolution procedures.
  • Ensure products are delivered in good condition and within reasonable timeframes.

8. SOCIAL MEDIA POLICY

Distributors using social media platforms including Facebook, Instagram, YouTube, LinkedIn, WhatsApp, Telegram, X (Twitter), Pinterest, blogs, websites, or other digital platforms shall:

Permitted Activities

  • Share Company-approved content.
  • Promote products and business opportunities using approved materials.
  • Educate consumers about wellness and products responsibly.

Prohibited Activities

Distributors shall not:

  • Create websites, mobile applications, social media pages, channels, or online properties using the name “YDIK”, “YDIK Nature Care”, or any Company trademark without written approval.
  • Publish misleading income claims.
  • Make unauthorized product claims.
  • Purchase fake followers, likes, comments, reviews, or engagement.
  • Use spam marketing practices.
  • Engage in online harassment or defamatory conduct.
  • Publish confidential Company information.
  • Record or distribute internal meetings, training sessions, or Company events without authorization.
  • Use before-and-after images or testimonials that violate applicable advertising regulations.

YDIK reserves the right to require the removal of any online content that violates Company policies.

9. ONLINE SELLING & E-COMMERCE POLICY

Distributors shall not:

  • Sell products on unauthorized e-commerce platforms.
  • List products on auction websites.
  • Sell products through unauthorized online marketplaces.
  • Use online channels that may damage product value, consumer trust, or brand reputation.

Online sales may only be conducted in accordance with Company policies and written approvals.

10. TELEMARKETING AND CUSTOMER CONTACT

Distributors shall:

  • Contact prospects only during reasonable business hours.
  • Identify themselves and YDIK at the beginning of any call.
  • Respect Do-Not-Disturb requests.
  • Immediately end communication if requested by the prospect.
  • Maintain professionalism during all telephonic and in-person interactions.

Distributors shall not:

  • Use aggressive or misleading telemarketing practices.
  • Repeatedly contact individuals who have declined interest.
  • Misrepresent the purpose of a call.

11. APPEARANCE AND PROFESSIONALISM

Distributors shall:

  • Maintain a neat, professional appearance.
  • Conduct themselves respectfully during meetings, events, and presentations.
  • Behave in a manner that reflects positively on YDIK Healthcare Products LLP.

12. COMPLAINT HANDLING

All consumer, Distributor, and public complaints shall be handled through YDIK’s official grievance redressal process.

Distributors shall:

  • Cooperate fully with complaint investigations.
  • Provide accurate information when requested.
  • Refer unresolved complaints to the Company.

13. COMPLIANCE WITH LAW

Distributors shall comply with:

  • Consumer Protection Act, 2019
  • Consumer Protection (Direct Selling) Rules, 2021
  • Information Technology Act, 2000
  • FSSAI Regulations
  • GST Regulations
  • Advertising Standards Council of India (ASCI) Guidelines
  • Any other applicable laws and regulations

14. VIOLATIONS AND DISCIPLINARY ACTION

Violation of this Code of Conduct may result in:

  • Written warning
  • Suspension of privileges
  • Withholding of commissions or incentives
  • Termination of Distributor Agreement
  • Legal action where applicable

YDIK Healthcare Products LLP reserves the right to determine appropriate corrective action based on the severity of the violation.

ACKNOWLEDGEMENT

By registering as an Independent Distributor of YDIK Healthcare Products LLP, every Distributor acknowledges that they have read, understood, and agreed to comply with this Code of Conduct and all Company policies.
