This Obligation Policy forms an integral part of the Independent Distributor Agreement entered into between YDIK Healthcare Products LLP (“YDIK”, “Company”) and its Independent Distributors. All Distributors are required to comply with the provisions contained herein and any amendments made by the Company from time to time.
1. OBLIGATIONS OF DISTRIBUTORS
Every Distributor associated with YDIK Healthcare Products LLP shall:
1.1 Professional Conduct
- Carry a valid Distributor Identification Card issued by the Company while conducting business activities.
- Not visit any consumer’s residence, office, or premises without prior permission, appointment, or approval.
- Clearly identify themselves as an Independent Distributor of YDIK Healthcare Products LLP at the beginning of every sales presentation.
- Truthfully disclose the purpose of the interaction, the nature of products being offered, and their association with the Company.
1.2 Product Presentation & Consumer Information
Distributors shall provide accurate and complete information regarding:
- Product features and benefits.
- Product pricing.
- Payment terms.
- Return and refund policies.
- Warranty or guarantee conditions, if applicable.
- After-sales support and customer service.
At the time of sale, Distributors shall provide consumers with:
- Distributor name and identification details.
- Contact information.
- Description of products purchased.
- Product pricing and applicable taxes.
- Invoice or receipt.
- Expected delivery timelines.
- Product return and refund procedures.
- Consumer complaint redressal mechanism.
1.3 Record Keeping
Distributors shall maintain proper records of:
- Product purchases.
- Product sales.
- Customer invoices.
- Returns and refunds.
Such records shall be maintained in compliance with applicable laws and regulatory requirements.
1.4 Prohibited Activities
A Distributor shall not:
- Use misleading, deceptive, unfair, or unethical sales practices.
- Make false income claims or earnings representations.
- Misrepresent actual or potential business opportunities.
- Provide unauthorized product literature, presentations, or promotional materials.
- Make claims about products not approved by YDIK.
- Encourage inventory loading or excessive product purchases.
- Require recruits to purchase products in unreasonable quantities.
- Charge fees for training, literature, demonstrations, or enrollment unless expressly authorized by the Company.
- Create cross-line recruiting or interfere with another Distributor’s sales organization.
- Engage in any activity that damages the reputation of the Company.
1.5 Tax Compliance
Distributors shall be solely responsible for payment of applicable taxes, including GST or any other statutory obligations arising from their business activities, wherever applicable under law.
2. OBLIGATIONS OF YDIK HEALTHCARE PRODUCTS LLP TOWARDS DISTRIBUTORS
2.1 Orientation & Training
YDIK shall provide orientation and training to prospective and existing Distributors covering:
- Company policies.
- Product information.
- Compensation plan.
- Ethical selling practices.
- Compliance requirements.
2.2 Maintenance of Records
The Company shall maintain complete and accurate records including:
- Distributor enrollment details.
- Active and inactive status.
- Earnings and commissions.
- Product purchases and sales records.
- Agreement and compliance documentation.
2.3 Distributor Registry
The Company shall maintain a Distributor Register containing:
- Identity verification documents.
- Address proof.
- PAN details, where applicable.
- Enrollment information.
- Status updates.
2.4 Website Transparency
The Company shall maintain an updated website (ydiknaturecares.com) containing:
- Company information.
- Contact details.
- Product information.
- Product pricing.
- Compensation plan.
- Distributor policies.
- Terms and conditions.
- Consumer grievance mechanism.
- Compliance disclosures.
2.5 Distributor Information Access
YDIK shall provide Distributors access to relevant business information including:
- Sales records.
- Commission details.
- Bonus and incentive information.
- Earnings statements.
- Purchase history.
2.6 Fair Business Practices
The Company shall not:
- Use deceptive recruitment methods.
- Make unverifiable income claims.
- Promise guaranteed earnings.
- Misrepresent products or compensation plans.
- Use coercion, intimidation, harassment, or unlawful practices.
- Charge unauthorized enrollment fees.
- Mandate minimum monthly purchases.
- Compel purchase of sales aids, literature, or demonstration materials.
2.7 Compliance Responsibility
YDIK shall ensure compliance with applicable Direct Selling regulations and shall monitor all members of its sales network, whether directly or indirectly appointed.
3. OBLIGATIONS OF YDIK AND DISTRIBUTORS TOWARDS CONSUMERS
3.1 Consumer Information
Upon every sale, consumers shall receive:
- Seller and purchaser details.
- Product description.
- Invoice or bill.
- Delivery information.
- Return and refund procedure.
- Warranty information, where applicable.
- Customer support contact information.
3.2 Product Claims
Neither the Company nor its Distributors shall make any product claims beyond those authorized by YDIK Healthcare Products LLP and permitted under applicable laws.
3.3 Privacy Protection
The Company and its Distributors shall protect all consumer information and maintain confidentiality in accordance with applicable data protection laws.
3.4 Product Quality & Safety
The Company shall ensure that:
- Products comply with applicable regulatory standards.
- Products are sold within their validity period.
- Products are appropriately labeled.
- MRP is clearly displayed on packaging.
3.5 Consumer Protection Compliance
The Company and its Distributors shall comply with:
- Consumer Protection Act, 2019.
- Consumer Protection (Direct Selling) Rules, 2021.
- Applicable GST regulations.
- FSSAI regulations.
- Any other laws applicable to the sale and distribution of products.
3.6 Billing Requirements
Every sale shall be accompanied by a valid invoice, bill, or receipt issued in accordance with applicable laws.
4. COMPLIANCE & DISCIPLINARY ACTION
Any violation of this Obligation Policy may result in:
- Warning notice.
- Suspension of Distributor privileges.
- Withholding of incentives, bonuses, or commissions.
- Termination of Distributor Agreement.
- Legal action where applicable.
The Company’s decision regarding disciplinary measures shall be final and binding.
5. POLICY ACCEPTANCE
By enrolling as an Independent Distributor of YDIK Healthcare Products LLP, every Distributor acknowledges that they have read, understood, and agreed to comply with this Obligation Policy and all related Company policies.
